These Terms of Service (the “Terms”) are a binding agreement between you and Waters Molecular & Surgery LLC, a Texas limited liability company (“Waters Molecular,” “we,” “us,” or “our”). They govern your access to and use of our website at watersmolecularandsurgery.com and all applications and services we offer, including Chalk Dust, Medicinal, Doctor’s Note, and Procedure Hunter, together with any related content, features, and subdomains (collectively, the “Services”).
By creating an account, subscribing, or otherwise using any of the Services, you agree to these Terms. If you do not agree, do not use the Services.
You must be at least 13 years old to use the Services. If you are under 18, you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf. By using the Services, you represent that you meet these requirements and that any registration information you provide is accurate.
Most Services require an account. One account works across our products. You agree to:
You are responsible for all activity that occurs under your account. Accounts are personal to you and may not be sold, transferred, or shared. We may reclaim or disable accounts that are inactive, abusive, or created in violation of these Terms.
Some Services offer a free tier with usage limits (for example, a limited number of practice problems per day). We may change free-tier limits, features, or availability at any time without notice. The free tier is provided as-is and does not guarantee continued access to any particular feature.
Paid subscriptions are billed in advance on a recurring basis (for example, monthly) at the price shown at checkout, plus applicable taxes. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date. Payments are processed by our payment provider, Stripe; we do not store your full card details.
We may change subscription prices. If we do, we will give you advance notice (by email or in-app), and the new price will take effect at your next renewal. If you do not agree to a price change, cancel before it takes effect.
If a renewal payment fails, we may retry it and/or downgrade your account to the free tier until payment succeeds.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period: you keep paid access until then, and you will not be charged again. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or unused features. If you believe you were charged in error, contact us and we will review it in good faith.
The Services are educational and informational tools only. They do not provide medical advice, diagnosis, or treatment, and they are not a substitute for the judgment of a licensed healthcare professional.
We work to keep content accurate and current, but science, medicine, and referenced data change, and errors are possible. Content may be incomplete, out of date, or incorrect, and some material is generated or assembled with the assistance of software (including artificial-intelligence tools) and from third-party and public data sources that we do not control. We do not warrant the accuracy, completeness, or currency of any content, and you use it at your own risk. If you find an error, please report it to the contact address below — we genuinely want to fix it.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your own personal, non-commercial educational use. This license does not permit you to:
The Services and all their content — including software, question banks, explanations, problem generators, graphics, molecule renderings, logos, product names, and design — are owned by Waters Molecular or its licensors and are protected by copyright, trademark, and other intellectual-property laws. Except for the limited license in Section 7, no rights are granted to you. “Waters Molecular & Surgery,” “Chalk Dust,” “Medicinal,” “Doctor’s Note,” and “Procedure Hunter” and their logos may not be used without our prior written permission.
Some Services let you create or import your own content (for example, custom practice problems). You retain ownership of content you create. You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and display that content as needed to operate the Services for you. You are responsible for content you create or import, including having the rights to use it; do not import content that infringes someone else's rights.

The Services rely on third-party providers (for example: payment processing by Stripe, authentication and data infrastructure, hosting and content delivery, and email delivery) and may reference or link to third-party data sources and websites. We are not responsible for third-party services, sites, or data, and your use of them may be subject to their own terms and privacy policies.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. In short: we collect what we need to operate the Services (such as your email, account data, usage/metering data, and subscription status), we use trusted processors to handle payments, authentication, and email, and we do not sell your personal information.
We are actively developing the Services and may add, change, mark as “coming soon,” or remove features at any time. We may also update these Terms. If we make a material change, we will give notice (by email or in-app) before the change takes effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. The “Effective date” above reflects the latest revision.
You may stop using the Services or delete your account at any time. We may suspend or terminate your access (including canceling subscriptions) if you materially breach these Terms — for example, by scraping content, circumventing the paywall or usage meters, or abusing other users or our systems — or where necessary to protect the Services, our users, or comply with law. If we terminate your paid subscription without cause, we will refund the prorated unused portion of your current billing period; if we terminate for cause under this section, no refund is owed except where required by law. Sections 5–9 and 15–19 survive termination.
THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT CONTENT IS ACCURATE, COMPLETE, OR CURRENT; OR THAT USE OF THE SERVICES WILL PRODUCE ANY PARTICULAR ACADEMIC, EXAMINATION, PROFESSIONAL, OR CLINICAL OUTCOME. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL WATERS MOLECULAR, ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) FIFTY U.S. DOLLARS (US $50). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless Waters Molecular and its members, managers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your misuse of the Services or their content, including any use of educational content for clinical decision-making; or (c) content you create, import, or submit.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Subject to the informal-resolution step below, the state and federal courts located in Texas will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you and we each consent to personal jurisdiction and venue there.
Informal resolution first. Before filing a claim, you agree to contact us at the address below and give us 30 days to try to resolve the dispute informally — most issues can be fixed this way.
Time limit. To the extent permitted by law, any claim arising out of or relating to the Services must be filed within one (1) year after the claim arose, or it is permanently barred.
